These Terms & Conditions ("Terms") govern your access to and use of PipelineAI's website (pipelineai.live) and services, including AI-powered lead generation, SMS/WhatsApp/email automation, and website development ("Services"). By engaging PipelineAI or using our website, you agree to these Terms.

1. Description of Services

PipelineAI provides automation consulting services to small and medium-sized businesses, including dead-lead reactivation campaigns; AI-powered follow-up automation via SMS, WhatsApp, and email; CRM setup and workflow automation; website design and development. Specific deliverables, timelines, and pricing for any engagement are defined in a separate agreement between PipelineAI and the client.

2. Client Responsibilities

By engaging PipelineAI, you ("Client") agree that: you own your contact data and any leads/contacts/customer lists you provide are your responsibility, and you represent you have a lawful basis to contact each individual; you will not provide scraped, purchased, or cold third-party contact lists for SMS or WhatsApp campaigns unless you can demonstrate valid consent — PipelineAI reserves the right to refuse to run a campaign against any list it reasonably believes lacks proper consent; you are responsible for compliance with applicable telecommunications and messaging regulations (including TCPA in the United States and Meta's WhatsApp Business Messaging Policy); you will provide accurate business information and are responsible for reviewing and approving message content before it goes live.

3. Acceptable Use

You agree not to use PipelineAI's services to: send unsolicited spam or messages without a lawful basis for contact; send fraudulent, deceptive, or harassing content, or content violating any connected platform's terms; circumvent opt-out requests; use the services for any unlawful purpose. Violation may result in immediate suspension of services without refund.

4. Third-Party Platforms

Our services rely on third-party infrastructure providers used to power the Pipeline AI Platform (including telephony, messaging, AI, workflow automation, and database providers such as Twilio, Meta's WhatsApp Business Platform, Anthropic's Claude API, Make.com, and Supabase). Client acknowledges: use of these underlying platforms is subject to their own terms of service; PipelineAI is not responsible for outages, policy changes, or account suspensions caused by these providers; some platforms may require the Client to register their own business account, phone numbers, or messaging templates (e.g., A2P 10DLC registration, WhatsApp Business verification), and delays may affect service timelines.

5. Payment Terms

Payment terms, pricing, and billing cycles will be specified in a separate proposal or agreement. Unless otherwise stated, fees are non-refundable once work has commenced. PipelineAI reserves the right to pause services for accounts with overdue payments.

6. Intellectual Property

Automation templates, workflows, and system architecture built by PipelineAI (including reusable frameworks not specific to a single client) remain PipelineAI's intellectual property. Client-specific configurations, branding, and content created for a Client become the property of that Client upon full payment, unless otherwise agreed in writing. PipelineAI retains the right to reference completed work (with Client permission) for portfolio purposes.

7. Disclaimers and Limitation of Liability

Services are provided "as is" without warranties of any kind. PipelineAI does not guarantee specific business outcomes resulting from use of its services. To the maximum extent permitted by law, PipelineAI's total liability for any claim shall not exceed the amount paid by the Client in the three (3) months preceding the claim. PipelineAI is not liable for indirect, incidental, or consequential damages, including from third-party platform outages, policy changes, or account suspensions.

8. Indemnification

Client agrees to indemnify and hold PipelineAI harmless from any claims, damages, or regulatory penalties arising from Client's failure to obtain proper consent for contacts provided to PipelineAI, or from Client's violation of applicable messaging or telecommunications laws.

9. Termination

Either party may terminate an engagement per the terms specified in the applicable service agreement. PipelineAI reserves the right to suspend or terminate services immediately for Acceptable Use violations or non-payment.

10. Governing Law

These Terms are governed by the laws of Yucatán, Mexico, without regard to conflict of law principles. Any disputes shall be resolved in the courts of that jurisdiction, unless otherwise agreed in a specific client contract.

11. Changes to These Terms

We may update these Terms from time to time. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.
